How Value8 Hub Provides the Data Room

The product model: a standing part of the cap table platform

Value8 Hub is the data room and diligence layer that sits alongside a company's Value8 cap table. It is software a company's own team runs, continuously, as part of how the equity program is maintained, not a project assembled once a buyer or an auditor asks for it. Because Hub sits next to the cap table the company already keeps current in Value8, the documents it holds and the ownership record they support stay the same story, rather than two systems someone has to reconcile by hand when diligence starts.

Where it lives in the product

Inside Hub, three areas work together:

  • Data Room → Documents is the document library: upload a file, set its title, document type (certificates, board resolutions, cap table exports, term sheets, investor agreements, stock purchase agreements, valuation reports, tax filings, and more), and an optional folder and description. Folders can be organized by category (Corporate, Equity, Financial, Compliance, Tax, HR, IP), starred for quick access, and browsed from a folder tree.
  • Sharing → Shared Links is how documents leave the building under the company's own terms. Create a named link, choose folder-level access (None, View, or Download per folder), set an expiration (from 7 days to never), and optionally require a password. Every link tracks views, so engagement is visible at a glance, and access can be cut at any time, either by deactivating a single link or by revoking every link at once.
  • Data Room → Q&A tracks the questions a counterparty raises against the shared documents, each carrying a status, Open, Answered, or Closed, so nothing falls through the cracks when several parties are reviewing at the same time. Replies are posted in the same thread, giving the company one auditable record of what was asked and how it was answered, instead of that history scattered across email.

A company exploring a specific task without hunting through menus can also start from Actions → Workflows, a searchable shortcut hub that jumps straight to a task like uploading a document or creating a share link.

Always ready, because it's tied to the live cap table

The reason this holds up under deadline pressure, rather than only looking good when nothing is happening, is that none of it is a parallel system. Documents are foldered and searchable as they're created, not reconstructed from scattered sources when a secondary sale, a tender offer, or an acquisition approach shows up. Diligence questions and answers from a past financing or process stay on the record for the next one. By the time a liquidity event actually arrives, the work is choosing what to share and with whom, through a scoped, time-limited link, not building a diligence package from a standing start.

That same discipline extends to valuation support: the common-stock fair market value a current 409A valuation establishes is exactly the kind of document a buyer's diligence asks for in a secondary sale, and keeping it filed in the data room alongside the cap table it was prepared for means it's already where a reviewer would look for it.

A complementary, separate readiness check

Ahead of a bigger liquidity event, like an IPO or a UK PISCES listing, a company typically also needs to score its readiness across a wider set of pillars than documents alone, governance, financial integrity, capital structure, valuation methodology, material contracts, and risk factors. That assessment lives in Value8 Ledger's Listing Readiness tool, a separate product surface from Hub's data room. The two are complementary: a current, well-organized data room feeds directly into the capital-structure and material-contracts pillars that readiness scoring checks, but the readiness assessment itself covers more ground than documents, and the underlying eligibility requirements for any specific listing are legal and regulatory matters to confirm with counsel and underwriters.

What this page does not claim

  • Value8 Hub keeps a company's data room, documents, and diligence Q&A ready and current. It does not execute a secondary sale, run a tender offer, or act as a broker-dealer, transfer agent, or escrow agent in any such transaction.
  • No claim is made here about pricing or which plan a given capability sits on; see pricing.
  • No claim is made that an always-ready data room guarantees a successful or faster-closing transaction. It removes the document-assembly bottleneck; the rest of a secondary sale, tender offer, or liquidity event still depends on the company, its counsel, and the other parties involved.

To see this against your own cap table, explore pricing or get in touch.

This describes how Value8 Hub supports data room, document-sharing, and diligence-Q&A readiness. It is general information about the product, not legal, tax, or securities-compliance advice about any specific transaction.
