How Value8 Does Section 83(b) Elections

A Section 83(b) election has one deadline, 30 days, and no second chance if it is missed. The risk is less about understanding the tax math and more about simply noticing in time, especially across a company with grants happening throughout the year. Value8's cap table platform ties Section 83(b) election tracking directly to the grant it belongs to, so the facts the election needs and the clock it runs against both come from data the company already has, not a side spreadsheet.

This page explains what that looks like in the product. For background on the election itself, see what a Section 83(b) election is.

An election generated from the grant, not re-typed

An election can be generated directly from an approved restricted stock grant or the stock certificate it issued, in Value8 Ledger's Tax Center. The company, employee, grant date, number of shares, exercise price, and the fair market value that applied at transfer are all pulled from the grant record itself, rather than keyed in a second time, and the election is linked back to that specific grant or certificate so there is one answer to "has this grant already been elected on".

Once generated, the election moves through a visible lifecycle, from pending signature, to signed, to mailed, to pending verification, through to a recorded IRS acknowledgment, or to expired or rejected if that is how it plays out. Each election keeps a record of the figures it was generated with, so the document reflects what was true at the time it was created even if the underlying grant data is later corrected.

The 30-day deadline, counted the way the IRS counts it

The Section 83(b) window is 30 calendar days from the date the stock was transferred, and the actual filing deadline can land a few days later than a simple "plus 30 days" count when that date falls on a weekend or a federal holiday. Value8 computes the deadline date accordingly, rather than with a flat 30-day addition, so the countdown shown to a company and the date an election is allowed to be generated against both reflect the real, legally accurate deadline, not an approximation that could cut a filing window short.

Open elections that are getting close to their deadline are surfaced on a dashboard view, so a company can see at a glance which filings are at risk before they become missed deadlines.

Reminders that do not depend on someone remembering to check

Alongside the dashboard, Value8 includes an automated reminder system for Section 83(b) elections: a recurring scan that emails the employee as their personal 30-day deadline approaches, and a recurring summary email to company Owners and Admins listing every open election across the company by urgency. Neither depends on a person opening the Tax Center and checking the countdown manually, and an election that genuinely runs out its filing window without being completed is automatically marked accordingly rather than being left to look open indefinitely.

Form 3921, alongside Section 83(b), in the same Tax Center

Section 83(b) elections sit next to Value8's other US equity tax forms rather than apart from them. Form 3921, the IRS form that reports each incentive stock option exercise, is generated from the same recorded exercise data in the Tax Center, so a company handling both an 83(b) election on restricted stock and an ISO exercise reporting obligation is working from one place, not two.

Grounded in the cap table, not a side spreadsheet

What ties all of this together is that an election is generated from, and linked to, the actual grant or certificate in the company's cap table, the same record that drives the rest of Value8. That is also what makes the fair market value behind an election consistent with the value used for 409A and for the company's own ASC 718 expense accounting on the same grant: one underlying record, read the same way everywhere it matters.
